Partner Agreement




1. GENERAL


The following terms and conditions apply to the partnership between Nordic Backup and the Partner. The terms and conditions are applicable unless another written agreement has been signed.


2. PARTNER’S TASKS


Partners are expected to assist their customers with the installation, configuration, and administrative tasks of all Nordic Backup Products and continue to offer firsthand support to their customers throughout the life of their accounts. The Partner is expected to attend to the direct contact between Nordic Backup and their customers. The tasks include the installation and configuration of all Nordic Backup Products, ensuring that the customer’s backup account is working properly and as expected along with answering questions from customers, and ongoing customer care for the Partner’s customers throughout the life of the Partner’s accounts. If the customer backup account is not working as expected, the partner will work with Nordic Backup Support to reach a resolution and deliver the solution to the customer.


3. PARTNER’S COMMISSION


For the Partner’s services on behalf of Nordic Backup, the Partner receives 30% commission for all customers’ paid backup depending on which backup solution they choose. Commissions are paid once the customer has paid their monthly or annual payment (depending on what type of account they have). The Partner will accrue monthly or annual commission for every customer, for as long as that customer has their Nordic Backup account associated with the Partner. It is the partner’s responsibility to ensure that the account is properly configured and actively backing up at all times or in accordance with customer expectations. Nordic Backup reserves the right to withhold commissions on accounts that are not configured or are not backing up properly until a satisfactory outcome is reached. Nordic Backup reserves the right to adjust the commission pay schedule at any time, and will notify Partners via email if and when any changes are made and when they will go into effect.


4. PARTNER’S RESPONSIBILITY


The Partner is not responsible for possible loss related to the customer’s use of Nordic Backup’s products. Nordic Backup’s liability towards customers is stated in the customer agreement made with the respective customer.


If the Partner accepts the customer agreement on behalf of the customer, the Partner becomes the responsible party to the customer. The Partner, and the Partner’s possible cooperation partners, may make agreements with the Partner’s own partners and end customers. In this way, Nordic Backup is only responsible to the party who accepts the customer agreement with Nordic Backup.


5. PARTNER’S COMPLIMENTARY 50 GB BACKUP ACCOUNT


The Partner will have access to a fully functional 50 GB Professional account that the Partner can use for the Partner’s own personal backup and/or to test and demonstrate the Nordic Backup Pro backup solution. This account is not for resale, it is solely for the use of the Partner. This will ensure that the Partner will be able to provide adequate service and knowledge of Nordic Backup’s interface to the Partner’s potential customers. If the Partner requires more than 50 GB’s, the Partner will have the option to pay for any amount over the 50 GB’s based on a metered usage. The Partner will receive a 30% monthly recurring commission on any amount that the Partner pays for over their allotted 50 GB’s.


This 50 GB account is free to the Partner for one year from the creation date. Once the allotted year has elapsed, the account will be reviewed to see if the Partner has met the requirements to keep the account free of charge. In order to keep the account complimentary, Nordic Backup only requires that the Partner to obtain new customers meeting at least $498 in annual revenue within that year. If the Partner qualifies for renewal, Nordic Backup will extend the free account for another year.


If the Partner does not meet the qualifications for Nordic Backup to extend the free backup account, the Partner will have the option to continue the account at their own expense, or the account will automatically be deactivated after its expiration date at Nordic Backup’s discretion.


6. CUSTOMER DATA


The Partner acknowledges that they are obligated to keep their customers’ data confidential. Due to security, liability, and encryption purposes, Nordic Backup will not permit the intermingling of customers’ accounts. Only one business entity or private individual will be allowed on one account. Each customer will receive or create their own encryption key to their data. For this reason, a Partner may not purchase one account and store multiple unrelated customers’ or businesses’ data in it. This can cause a serious security breach and it will be a violation of this agreement. If Nordic Backup finds an account with multiple separate business data intermingled, Nordic Backup can terminate the account and the agreement without notice and no refunds will be given.


7. SALES AND MARKETING REQUIREMENT


Nordic Backup has created sales tools, marketing materials, and customized Nordic Backup Logos with embedded URLs linked directly to the Partners. The Partner is encouraged to promote the Partner’s partnership with Nordic Backup by placing the Nordic Backup logo or banner on the Partner’s website. The Partner will receive recurring monthly or annual commission (depending on the product chosen) from anyone that signs up through the Partner’s link. These marketing materials are provided within the Marketing section found in the Partner’s Portal.


If the Partner is promoting their company on Social Media (Facebook, Google +, or Twitter) or has any newsletters or blogs, the Partner is encouraged to promote this partnership with Nordic Backup. The Partner must include the URL with the Partner’s personal id number embedded into it to proper receive credit for any referrals.


8. DURATION OF THE AGREEMENT


The present agreement runs until it is terminated in writing by the Partner. The agreement can be terminated at any time by Nordic Backup in case of breach of agreement referring to pts. 8 and 9.


9. RIVAL ACTIVITIES


The Partner agrees not to compete with the Nordic Backup software by offering the Partners’ own licensed product. If so, the agreement is violated and can be terminated immediately by Nordic Backup without any compensation. Any commissions earned after the violation will be considered null and void.


10. NEGATIVE BEHAVIOR


The Partner may not publicly speak negatively or express disparaging thoughts or remarks about Nordic Backup, either to the customers, potential customers or to others. If so, the agreement is violated and can be terminated immediately by Nordic Backup without any compensation. Any commissions earned after the violation will be considered null and void.


If the Partner finds that something about Nordic Backup’s product could be improved or that something about the service or if the product has failed to meet expectations, the Partner is obligated to inform Nordic Backup about it.


11. INDEMNITY


The Partner agrees to indemnify, defend, and hold harmless Nordic-Backup, its directors, officers, employees, consultants, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from the Reseller’s use of this website or the Partner’s breach of this Partner Agreement or the Terms of Service.


12. COMPLAINTS


Nordic Backup operates a complaints handling procedure which will be used to resolve disputes when they first arise. Please notify Nordic Backup if you have any complaints or comments.


13. AGREEMENT ACCEPTANCE


By applying to become a Partner and using the Nordic Backup Partner account, the Partner accepts this Partner Partner Agreement.
